Marvell Technology has agreed to buy optical technology firm Lumentum for $115 billion in an all-stock deal aimed at enhancing next-generation AI infrastructure connectivity. The merger is expected to complete by mid-2028.
Marvell Technology has entered into a definitive agreement to acquire Lumentum, a company specializing in advanced optical technologies, in a transaction valued at $115 billion (approximately 99 billion euros). This all-stock deal is designed to address the increasingly complex connectivity demands of next-generation artificial intelligence (AI) infrastructure.
Under the terms of the agreement, Marvell shareholders will own 67% of the combined entity, while Lumentum shareholders will hold the remaining 33%. The deal is anticipated to close in the first half of 2028.
Marvell plans to combine its expertise in electrical and optical interconnects and advanced semiconductor technologies with Lumentum’s capabilities in high-performance lasers, optical transceivers, circuit switching, and specialized compound semiconductor manufacturing. This integration aims to accelerate innovation and enhance product offerings for customers operating in the AI infrastructure space.
The CEO of Marvell, Matt Murphy, emphasized that AI infrastructure is undergoing an architectural transformation favoring optical connectivity, as bandwidth requirements surge and physical limitations of copper-based connectivity prompt a shift towards optical technologies.
Both companies view the merger as a strategic move to unify specialized manufacturing capabilities, foster long-term shareholder value, and capitalize on a combined addressable market potentially reaching $550 billion (about 473 billion euros). This significant consolidation highlights the critical role of optical technologies in supporting the future expansion in AI and data center infrastructures.
The acquisition, one of the largest in the semiconductor sector, reflects growing investment in technologies enabling high-speed, high-bandwidth connectivity essential for advanced AI workloads.
