Deutsche Telekom has decided against making a formal offer to merge with its subsidiary T-Mobile US due to opposition from its works council and trade unions. The German operator remains a majority stakeholder with plans for a possible future offer.
Deutsche Telekom has reportedly scaled back plans to merge with its US subsidiary, T-Mobile US, after encountering resistance within its own governance structure. According to a Bloomberg report covered by Mobile World Live, the German operator faced opposition from its works council and trade unions, which collectively hold approximately half of the supervisory board seats. This internal resistance has led Deutsche Telekom to refrain from making a formal merger offer at this time.
Deutsche Telekom became the majority stakeholder in T-Mobile US earlier in 2024 and currently holds about 53% of the company's shares. The initial discussions about merging the two entities surfaced in April 2026, raising expectations of a consolidation that could reshape telecom markets in both Germany and the United States.
Despite the current pause, Bloomberg noted that Deutsche Telekom might still present an offer at a later date. Additionally, activist investor Elliott Investment Management, which has acquired a significant stake in Deutsche Telekom, reportedly pressured the operator to abandon the merger plan.
The leadership linkage between the two firms is underscored by Srini Gopalan, the former German unit chief of Deutsche Telekom, who now serves as CEO of T-Mobile US. Deutsche Telekom’s gradual accumulation of T-Mobile US shares over recent years culminated in gaining the controlling interest it holds today.
This development signals a complex interplay of corporate governance, investor influence, and regulatory considerations impacting the potential consolidation. While the merger plan is on hold, the path forward remains uncertain as Deutsche Telekom balances internal sentiment with strategic ambitions in the US market.
