Thrive Holdings, partnered with OpenAI, has acquired ADT in a $15.3 billion deal. The firms intend to leverage AI to revamp ADT’s home security offerings and develop new intelligent products.

Thrive Holdings, a private equity spin-out affiliated with venture firm Thrive Capital and backed by OpenAI, has completed the acquisition of ADT, a leading physical security company, for approximately $15.3 billion in total enterprise value. The transaction, announced on October 29, 2026, involves a purchase price of $10 per share, reflecting around $7.6 billion in equity value.

Thrive Holdings is characterized by its long-term investment approach focused on modernizing established companies through artificial intelligence. OpenAI serves as a strategic partner to Thrive, providing AI models, technology, and forward-deployed engineers to support Thrive’s portfolio, which currently includes over 75 companies.

While specific AI-enhanced products have not yet been unveiled, the organizations have outlined plans to invest in and introduce innovative AI-powered security solutions. ADT is set to become the cornerstone of Thrive Holdings’ smart home security business, signaling a future emphasis on integrating advanced AI capabilities into home safety systems.

This acquisition aligns with a broader industry trend of incorporating AI into physical security. Notably, Apple recently launched smart home and security products developed in cooperation with LG and Schneider Electric, and Amazon has refreshed its home camera lineup with AI features. Meanwhile, startups are experimenting with novel concepts like AI-enabled robotic security dogs.

The partnership between Thrive Holdings and OpenAI positions ADT to potentially transform traditional home security by harnessing AI advancements, though precise product roadmaps remain forthcoming. The deal marks a significant development in the merging of AI technology with physical security infrastructures, reflecting increasing market momentum in this space.
